NH ParTech ("ParTech") End-User License Agreement ("Agreement") for ("ParTech DataBasic"), a small agency reporting and care management tool providing creation of client information and storage within and access to a database of client records stored centrally within a health and human resources internet-based application toolkit referred to as the ("ParTech Connection").
Each participating agency and agency user must agree to the terms and conditions set forth in this Agreement to be eligible for the establishment of login and use privileges.
By using ParTech DataBasic you are certifying that your agency is a non-profit organization and provider of services to the uninsured or underinsured community serving clients within the State of New Hampshire with no expectation of remuneration from the clients you serve. You understand that each named user employed within such agency is, by acceptance of this Agreement, also bound by its terms.
NH ParTech grants your agency and named users a nonexclusive license to use ParTech Basic within the host environment only, the ParTech Connection. Except as set forth below, such software is licensed to you subject to the terms and conditions of this Agreement.
DISCLAIMER OF WARRANTIES: YOU AGREE THAT PARTECH HAS MADE NO EXPRESS WARRANTIES TO YOU REGARDING THE SOFTWARE AND THAT THE SOFTWARE IS BEING PROVIDED TO YOU "AS IS" WITHOUT WARRANTY OF ANY KIND. PARTECH DISCLAIMS ALL WARRANTIES WITH REGARD TO THE SOFTWARE, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, MERCHANTABLE QUALITY, OR NONINFRINGEMENT OF THIRD-PARTY RIGHTS.
LIMIT OF LIABILITY: IN NO EVENT WILL PARTECH BE LIABLE TO YOU FOR ANY LOSS OF USE, INTERRUPTION OF BUSINESS, OR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND REGARDLESS OF THE FORM OF ACTION WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT PRODUCT LIABILITY OR OTHERWISE, EVEN IF PARTECH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
The License granted under this Agreement provides usage of the software and maintenance commencing upon the date of payment for such services received by ParTech at its Littleton, New Hampshire offices. Subsequent year maintenance must be paid by the participating agency at the published yearly maintenance fee payable no later than one year and one month from the commencement date of the initial services in order to continue use of ParTech DataBasic. Maintenance renewals in subsequent years also require payment within one year and one month from the date of the previous year's renewal date.
The number of users per participating agency that will have access to ParTech DataBasic will be limited to three named users under this Agreement. Each named user will be provided a log-in that will allow individualized access to the ParTech Connection central storage respository. Additional user licenses and yearly maintenance can be purchased at the published price at any time. A new user can be substituted for an original named user, should the original user no longer require a log-in.
